1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the websites, applications, software, browser extensions, mobile applications, APIs, and related services operated by Shoppable Videos LLC ("Shoppable Videos," "SV," "we," "our," or "us"), including, without limitation:

any other products, services, features, or functionality that we make available now or in the future (collectively, the "Services").
By accessing, browsing, registering for, or using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as any additional policies, guidelines, or program-specific terms that may apply to certain features of the Services.
If you do not agree to these Terms, you must not access or use the Services.
These Terms constitute a legally binding agreement between you and Shoppable Videos LLC.
Certain features of the Services may be subject to additional terms, including but not limited to affiliate program terms, marketplace rules, promotional terms, beta program terms, or third-party platform requirements. In the event of a conflict between these Terms and any feature-specific terms, the feature-specific terms will govern with respect to that feature.
The Services are intended for users located in jurisdictions where their use is permitted by applicable law. You are responsible for ensuring that your access to and use of the Services complies with all applicable laws, regulations, and third-party platform requirements.
Eligibility

To use the Services, you must be at least 18 years of age and legally capable of entering into a binding agreement under the laws of your jurisdiction.
By accessing or using the Services, you represent and warrant that:
you are at least 18 years old;
you have the legal authority to enter into these Terms;
all information you provide to Shoppable Videos is accurate, current, and complete;
you will maintain the accuracy of your account information;
you are not prohibited from using the Services under any applicable law, regulation, sanction, or governmental restriction;
you will use the Services only for lawful purposes and in compliance with these Terms and all applicable laws.
If you register or use the Services on behalf of a business, organization, agency, brand, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such cases, the terms "you" and "your" refer to both you as an individual and the entity you represent.
You are responsible for ensuring that your use of the Services complies with the terms, policies, and developer requirements of any third-party platform that you connect to or interact with through the Services, including but not limited to TikTok, Amazon, Walmart, Instagram, YouTube, Facebook, Pinterest, Google, PayPal, or any other supported platform.
We reserve the right to refuse access to, suspend, or terminate any account that does not satisfy these eligibility requirements or that we reasonably believe is being used in violation of these Terms, applicable law, or the policies of any integrated third-party platform.
Account Registration & Authentication
3. Account Registration & Authentication
Certain features of the Services require you to create an account or authenticate using a supported third-party service.
You may access the Services by:
creating a Shoppable Videos account using a supported email address or authentication method;
signing in through supported third-party authentication providers, including OAuth-based services such as Google, TikTok, or other supported identity providers; or
using any other authentication method that Shoppable Videos may support from time to time.
When you authenticate through a third-party provider, your login credentials are processed by that provider. Shoppable Videos does not receive, collect, or store your third-party account passwords.
You are solely responsible for:
maintaining the confidentiality of your account credentials;
restricting access to your account and devices;
all activity that occurs under your account, whether authorized by you or not;
promptly updating your account information when it changes; and
notifying Shoppable Videos immediately if you suspect unauthorized access to your account.
You agree to provide accurate, complete, and current information during registration and to keep your account information updated at all times. We may suspend or terminate accounts containing false, misleading, incomplete, or fraudulent information.
Connected Accounts
Certain features of the Services allow you to connect third-party accounts, including but not limited to social media platforms, creator platforms, payment providers, marketplaces, or other supported services.
By connecting a third-party account, you represent and warrant that:
you own the account or have authorization from the account owner to connect it;
you authorize Shoppable Videos to access the data and permissions you explicitly approve through the third-party provider's authorization process;
you understand that access to third-party services is governed by that provider's own terms, policies, and availability.
You may disconnect supported third-party accounts through your Shoppable Videos account settings or through the applicable third-party platform, subject to any limitations imposed by that platform.
Security
While we implement reasonable administrative, technical, and organizational safeguards designed to protect user accounts, no method of transmitting or storing information over the Internet is completely secure.
You are responsible for selecting a strong password where applicable, protecting your authentication methods, securing your devices, and taking reasonable precautions to prevent unauthorized access to your account.
Shoppable Videos is not responsible for losses resulting from unauthorized access caused by your failure to safeguard your account credentials, devices, authentication methods, or connected third-party accounts.
We reserve the right to suspend, restrict, require additional verification for, or terminate any account if we reasonably believe it has been compromised, is being used fraudulently, violates these Terms, or poses a security risk to the Services or other users.
Description of the Services
4. Description of the Services
Shoppable Videos provides a platform that helps creators, brands, agencies, sellers, and other users discover opportunities, manage content, build professional creator profiles, analyze performance, create and manage affiliate links, and connect with third-party commerce and social media platforms.
The Services may include, without limitation:
Creator Passport profiles and verification services;
creator analytics and performance insights;
creator discovery and marketplace tools;
affiliate, referral, and commission management tools;
AI-powered recommendations, automation, and productivity features;
deep link creation and management;
browser extensions and productivity tools;
social media integrations and content management features;
campaign management and creator collaboration tools;
product discovery and recommendation tools;
SMS messaging and notification services;
APIs, integrations, and developer tools;
subscription services, usage-based credits, premium features, and other related functionality.
The Services are intended to assist users with creator workflows, content management, analytics, commerce, and related business activities. The Services do not guarantee business success, audience growth, monetization, campaign acceptance, creator partnerships, product availability, sales, commissions, or any specific financial or commercial outcome.
Service Availability
We continually improve, modify, and expand the Services. As a result, features, products, tools, interfaces, workflows, integrations, subscription plans, pricing, usage limits, supported platforms, and functionality may change over time.
Shoppable Videos reserves the right, at any time and without prior notice, to:
add, remove, modify, replace, or discontinue any feature or functionality;
introduce new products or services;
modify subscription plans, pricing, credits, usage limits, or feature availability;
add or remove supported third-party platforms or integrations;
modify eligibility requirements for specific features;
limit access to certain features based on subscription level, geographic location, account status, or other reasonable criteria;
discontinue support for legacy features or products.
While we strive to minimize disruption, we are not obligated to continue offering any particular feature, integration, or service for any specific period of time.
No Guarantee of Availability
The Services are provided on an ongoing basis but may occasionally become unavailable due to:
scheduled maintenance;
emergency maintenance;
software updates;
security incidents;
infrastructure failures;
third-party platform outages;
API changes;
telecommunications issues;
internet service disruptions; or
events beyond our reasonable control.
We do not guarantee continuous, uninterrupted, error-free, or fully compatible operation of the Services.
Future Services
From time to time, Shoppable Videos may introduce additional products, software, mobile applications, APIs, browser extensions, AI tools, verification methods, creator services, marketplace functionality, commerce tools, or other offerings.
Unless otherwise stated, such offerings will also be governed by these Terms.
Acceptable Use
5. Acceptable Use
You agree to use the Services responsibly, lawfully, and only for their intended purposes. You are solely responsible for your use of the Services, your account, your content, and your interactions with other users and third-party platforms.
You agree that you will not, directly or indirectly:
Illegal or Unauthorized Activity
violate any applicable law, regulation, court order, or governmental requirement;
use the Services for any unlawful, fraudulent, deceptive, or misleading purpose;
impersonate any person, business, organization, or government entity;
misrepresent your identity, affiliations, qualifications, or authority;
create accounts using false or misleading information.
Security & Platform Integrity
You may not:
attempt to gain unauthorized access to any account, system, database, API, or network;
interfere with or disrupt the operation of the Services;
probe, scan, or test the vulnerability of any system without authorization;
introduce malware, ransomware, viruses, worms, bots, or other malicious code;
interfere with security features or access controls;
attempt to bypass subscription restrictions, usage limits, or credit limitations.
Automated Use
Except where expressly authorized by Shoppable Videos, you may not:
use automated scripts, bots, crawlers, or scraping tools;
harvest user information or creator data;
copy large portions of platform content;
overload or attempt to degrade the performance of the Services;
reverse engineer or attempt to discover the underlying source code, algorithms, or non-public APIs.
Creator Passport & Verification
You may not:
falsely claim to be another creator or business;
submit fraudulent verification information;
manipulate verification status;
create misleading Creator Passport profiles;
use another person's social media accounts without authorization;
falsely represent business relationships, sponsorships, partnerships, or affiliations.
Marketplace & Creator Matching
You agree not to:
manipulate creator rankings or marketplace visibility;
submit fraudulent campaign opportunities;
create fake creator accounts or business accounts;
artificially inflate engagement or marketplace activity;
misuse creator contact information;
solicit users for unlawful or deceptive purposes.
Shoppable Videos reserves the right to remove listings, suspend campaigns, or restrict marketplace access at our sole discretion.
Affiliate Program
If you participate in any affiliate, ambassador, referral, or partner program, you agree not to:
refer yourself using alternate accounts;
engage in cookie stuffing or attribution fraud;
use spam, unsolicited messaging, or deceptive marketing practices;
misrepresent the Services or available commissions;
bid on trademarks or otherwise advertise in prohibited ways if restricted by affiliate program rules;
generate fraudulent, artificial, or invalid referrals.
Affiliate commissions resulting from fraudulent, abusive, deceptive, refunded, charged back, or otherwise invalid transactions may be withheld, reversed, or forfeited.
SMS & Communications
You may not:
send SMS messages to recipients without appropriate consent;
submit phone numbers that you are not authorized to use;
abuse notification features;
use the Services to send spam, phishing messages, or deceptive communications.
AI Features
If the Services include AI-powered features, you agree not to use them to:
generate unlawful or fraudulent content;
infringe the intellectual property rights of others;
create malicious software or harmful instructions;
impersonate individuals without authorization;
engage in harassment, abuse, or other prohibited conduct.
You remain solely responsible for any content generated, modified, or published using AI-assisted features.
Third-Party Platforms
You agree to comply with the terms, policies, API requirements, developer guidelines, and usage restrictions of any third-party platform that you connect to or use through the Services, including but not limited to TikTok, Amazon, Walmart, Instagram, Facebook, YouTube, Pinterest, Google, PayPal, and similar providers.
Shoppable Videos is not responsible for your failure to comply with any third-party platform requirements.
Enforcement
We reserve the right, in our sole discretion, to investigate suspected violations of these Terms.
If we determine, or reasonably believe, that your use of the Services violates these Terms, applicable law, or the policies of a third-party platform, we may, without prior notice:
suspend or terminate your account;
revoke access to specific features;
remove content, listings, or Creator Passports;
revoke verification status;
cancel affiliate commissions or rewards;
restrict access to APIs or integrations;
cooperate with law enforcement or regulatory authorities where appropriate; and
take any other action we reasonably believe is necessary to protect the Services, our users, or third parties.
Our decision to enforce these Terms in one instance does not waive our right to enforce them in any future instance.
Creator Passport & Verification Services
6. Creator Passport & Verification Services
Creator Passport is a professional profile and identity service provided by Shoppable Videos that enables creators to showcase verified information, connected platforms, audience insights, partnerships, creator tools, and other professional information.
The information displayed on a Creator Passport may include data provided directly by the user, data retrieved from connected third-party platforms, data generated through the Services, or information derived from authorized integrations.
Verification Services
Shoppable Videos may offer one or more verification methods for user accounts, Creator Passports, contact information, payment methods, social media accounts, marketplace accounts, or other supported services.
Verification methods may include, without limitation:
email verification;
phone verification;
social media account verification;
OAuth-based account connections;
creator platform verification;
payment account verification;
identity-related verification methods;
business verification;
domain verification; or
any additional verification methods introduced in the future.
Verification badges, indicators, labels, or similar visual elements are intended solely to indicate that a specific verification process was successfully completed according to the criteria established by Shoppable Videos at the time of verification.
What Verification Does Not Mean
Unless expressly stated otherwise, verification does not represent or guarantee:
legal identity verification;
government-issued identity validation;
background screening;
criminal history screening;
financial stability;
business legitimacy;
creator quality;
authenticity of content;
ownership of intellectual property;
endorsement by Shoppable Videos;
recommendation by Shoppable Videos;
future account ownership;
future access to connected accounts; or
ongoing compliance with third-party platform policies.
Users should independently evaluate any creator, business, seller, agency, or other user before entering into any business relationship.
Accuracy of Information
Creator Passport information may change over time due to updates made by users, connected platforms, APIs, third-party services, or changes in platform availability.
While we strive to provide accurate and current information, Shoppable Videos does not guarantee that any profile information, follower counts, engagement metrics, analytics, verification status, creator statistics, partnership information, marketplace data, or other displayed information is complete, accurate, current, or error-free.
Certain information may be delayed, estimated, cached, unavailable, or subject to limitations imposed by third-party platforms.
Verification Revocation
Shoppable Videos reserves the right to suspend, revoke, remove, modify, or re-evaluate any verification status at any time, including when:
a connected account is disconnected;
access permissions are revoked;
verification requirements change;
fraudulent activity is suspected;
inaccurate information is discovered;
platform policies require removal;
the underlying verification method becomes unavailable; or
we determine, in our reasonable discretion, that continued verification is no longer appropriate.
Verification status may also expire and require re-verification from time to time.
Public Profiles
Creator Passports may be publicly accessible and may be indexed by search engines, artificial intelligence systems, social media platforms, search services, and other automated technologies.
By choosing to create or publish a public Creator Passport, you acknowledge that information you make publicly available through your profile may be viewed, indexed, cached, archived, quoted, or referenced by third parties beyond the control of Shoppable Videos.
Professional Relationships
Creator Passport is intended to facilitate professional discovery and networking between creators, brands, agencies, sellers, and other users.
Shoppable Videos does not guarantee:
creator opportunities;
sponsorships;
campaign invitations;
business relationships;
product samples;
affiliate partnerships;
employment opportunities;
marketplace acceptance; or
any specific commercial outcome resulting from a Creator Passport.
Any agreements or business relationships formed between users are solely between those parties. Shoppable Videos is not a party to those agreements and assumes no responsibility for disputes arising from such relationships.
Connected Platforms & Third-Party Integrations
7. Connected Platforms & Third-Party Integrations
The Services may integrate with third-party platforms, websites, applications, APIs, authentication providers, payment providers, messaging providers, cloud services, and other technologies to provide certain functionality.
Supported integrations may include, without limitation:
TikTok
Amazon
Walmart
YouTube
PayPal
Twilio
Clerk
Supabase
Vercel
Cloudflare
or any other third-party service that Shoppable Videos may support from time to time.
The availability of any integration may vary by country, account type, platform policies, subscription level, API availability, or other technical or legal limitations.
Authorization
When you connect a third-party account, you authorize Shoppable Videos to access only the information and permissions that you explicitly approve through that platform's authorization process.
The information available to Shoppable Videos depends entirely upon the permissions granted by you and the capabilities made available by the third-party platform.
We do not access information that you have not authorized or that the applicable platform does not permit us to access.
Third-Party Terms
Your use of any connected platform remains subject to that platform's own:
Terms of Service;
Privacy Policy;
Developer Policies;
API Terms;
Community Guidelines; and
any other applicable agreements or requirements.
You are solely responsible for complying with all applicable third-party terms and policies.
Violation of a third-party platform's rules may result in the suspension or removal of your access to that platform and may also affect your ability to use related features within Shoppable Videos.
No Control Over Third-Party Platforms
Shoppable Videos does not own, operate, or control third-party platforms.
Accordingly, we are not responsible for:
API changes;
discontinued features;
platform outages;
pricing changes;
authentication failures;
account suspensions;
permission changes;
revoked developer access;
policy updates;
platform restrictions;
service interruptions; or
any other actions or decisions made by third-party providers.
Third-party providers may modify, restrict, suspend, or discontinue their services at any time, with or without notice.
Such changes may affect the availability or functionality of certain Shoppable Videos features.
Data Received from Third Parties
Information retrieved from connected platforms may include, depending on the permissions granted and platform capabilities:
profile information;
usernames;
creator statistics;
follower counts;
engagement metrics;
public content metadata;
storefront information;
creator categories;
campaign participation;
product information;
verification status;
account identifiers; and
other authorized account data.
We use such information solely to provide, improve, secure, personalize, and operate the Services, consistent with our Privacy Policy and the permissions granted by you.
Revoking Access
You may disconnect supported third-party accounts at any time through your Shoppable Videos account, where available, or through the applicable third-party platform.
Disconnecting an account may disable certain features of the Services or remove access to functionality that depends upon that integration.
Certain information previously collected may continue to be retained as permitted or required by applicable law, these Terms, our Privacy Policy, or legitimate business purposes.
Future Integrations
Shoppable Videos may add, remove, replace, or discontinue support for third-party platforms, APIs, authentication providers, payment providers, messaging providers, commerce platforms, creator platforms, analytics providers, artificial intelligence services, or other integrations at any time.
Nothing in these Terms shall be interpreted as a guarantee that any particular third-party integration will remain available for any specific period of time.
Browser Extension
8. Browser Extension
Shoppable Videos may provide one or more browser extensions or similar browser-based tools (collectively, the "Extension") to enhance the functionality of the Services.
The Extension is designed to assist users with creator workflows, product research, marketplace participation, deep link creation, Creator Passport features, analytics, and other authorized functionality.
User-Initiated Functionality
The Extension performs actions only when initiated by the user or when reasonably necessary to provide the feature that the user has requested.
Unless expressly disclosed for a specific feature, the Extension does not:
operate as hidden automation;
perform unauthorized actions on your behalf;
submit content without your instruction;
bypass security mechanisms;
collect information unrelated to its intended functionality; or
interfere with the normal operation of websites that you visit.
Permissions
The Extension may request browser permissions necessary to provide its features.
Depending on the functionality being used, the Extension may access information such as:
webpage URLs;
publicly available product information;
storefront information;
creator profiles;
marketplace listings;
product identifiers;
category information;
page metadata;
user-selected content;
authenticated session information necessary to complete requested actions; and
other information reasonably required to provide the requested functionality.
Permissions are requested solely to support the features of the Extension and are not intended to collect unrelated browsing activity.
Supported Websites
The Extension may interact with supported third-party websites and platforms.
Because those websites are operated by independent third parties, Shoppable Videos cannot guarantee:
compatibility with every browser version;
uninterrupted functionality;
continued availability of specific features;
compatibility following website updates;
compatibility following browser updates; or
continued support for any particular website or platform.
Changes made by third-party websites may reduce, modify, or eliminate Extension functionality without notice.
Browser Updates
Browser vendors may introduce updates, security changes, permission requirements, or extension policies that affect the operation of the Extension.
Shoppable Videos is not responsible for interruptions or reduced functionality resulting from browser updates, third-party platform changes, security policies, or technical limitations outside our reasonable control.
Acceptable Use
You may not use the Extension to:
violate applicable laws;
violate the terms or policies of third-party websites;
collect information without authorization;
engage in spam or deceptive practices;
interfere with website functionality;
attempt unauthorized automation;
reverse engineer, decompile, or modify the Extension;
circumvent subscription limits, usage restrictions, or security controls; or
use the Extension for any unlawful or prohibited purpose.
Updates
Shoppable Videos may release updates, bug fixes, security patches, new features, or compatibility improvements for the Extension at any time.
Some updates may be installed automatically through your browser or extension marketplace, while others may require manual installation.
Continued use of the Extension following an update constitutes acceptance of the updated functionality and any corresponding revisions to these Terms.
Removal
You may uninstall or disable the Extension at any time through your browser.
Uninstalling the Extension may disable or limit access to features that depend upon browser-based functionality but does not automatically delete your Shoppable Videos account or any associated data retained in accordance with these Terms and our Privacy Policy.
Marketplace & Creator Matching
9. Marketplace & Creator Matching
Shoppable Videos may provide marketplace features that enable creators, brands, agencies, sellers, advertisers, service providers, and other users to discover one another, publish opportunities, collaborate on campaigns, exchange information, or engage in business relationships (collectively, the "Marketplace").
The Marketplace is intended to facilitate professional introductions and collaboration. Shoppable Videos is not a party to agreements or transactions entered into between users.
Marketplace Features
Marketplace functionality may include, without limitation:
creator discovery;
brand discovery;
campaign listings;
creator opportunities;
collaboration requests;
product recommendations;
creator matching;
campaign management;
application workflows;
messaging features;
analytics and performance insights;
ratings, recommendations, or reputation indicators;
AI-powered recommendations;
and other marketplace functionality introduced in the future.
Marketplace features may vary depending on subscription level, geographic location, verification status, account type, platform availability, or other eligibility requirements.
Creator Matching
Shoppable Videos may use information from your account, Creator Passport, connected platforms, marketplace activity, analytics, content, product interactions, categories, engagement metrics, audience information, campaign history, and other authorized data to:
recommend creators to businesses;
recommend businesses to creators;
personalize opportunity feeds;
improve search results;
improve marketplace recommendations;
improve AI-assisted matching;
improve platform analytics;
improve marketplace quality and user experience.
Matching recommendations are generated using proprietary systems and may include automated analysis, algorithms, machine learning, artificial intelligence, or other technologies.
Recommendations are provided solely for informational purposes and do not constitute endorsements or guarantees.
Marketplace Information
Users are responsible for ensuring that any information they publish through the Marketplace is accurate, lawful, and not misleading.
You agree not to:
publish false opportunities;
misrepresent products or services;
submit fraudulent campaigns;
impersonate another business or creator;
misrepresent compensation, deadlines, or campaign requirements;
misuse contact information obtained through the Marketplace;
collect personal information except as reasonably necessary for legitimate business purposes;
engage in harassment, discrimination, spam, or deceptive practices.
Independent Relationships
Any agreements, negotiations, payments, contracts, communications, sponsorships, affiliate arrangements, product shipments, or other business relationships formed through the Marketplace are solely between the participating users.
Shoppable Videos:
is not an employer, staffing agency, broker, or talent agency;
is not responsible for negotiating agreements;
does not guarantee campaign completion;
does not guarantee payment;
does not guarantee creator performance;
does not guarantee product delivery;
does not guarantee sponsorship opportunities;
does not verify the financial condition or business practices of Marketplace participants; and
is not responsible for disputes arising between users.
Users are solely responsible for conducting their own due diligence before entering into any business relationship.
No Guarantee of Results
Participation in the Marketplace does not guarantee:
invitations to campaigns;
campaign acceptance;
creator selection;
product samples;
sponsorships;
affiliate opportunities;
increased visibility;
increased earnings;
business growth; or
any particular commercial outcome.
Marketplace rankings, recommendations, search results, and opportunity listings may change over time and are determined using a variety of factors that may evolve as the Services develop.
Moderation & Enforcement
Shoppable Videos reserves the right, but is not obligated, to review Marketplace activity for compliance with these Terms.
We may, in our sole discretion:
remove campaigns or listings;
reject or remove applications;
limit Marketplace visibility;
revoke Marketplace access;
suspend or terminate accounts;
remove content;
revoke verification status;
investigate suspected fraud or abuse; or
take any other action reasonably necessary to protect the integrity of the Marketplace or the Services.
Our decision to remove or restrict Marketplace content does not create any obligation to monitor all Marketplace activity.
Marketplace Evolution
The Marketplace is an evolving feature of the Services.
Shoppable Videos may modify, expand, restrict, replace, or discontinue Marketplace functionality, eligibility requirements, recommendation systems, matching algorithms, campaign workflows, communication tools, monetization features, or related services at any time without liability.
Affiliate & Referral Program
10. Affiliate & Referral Program
Shoppable Videos may offer one or more affiliate, referral, ambassador, partner, influencer, or other incentive programs (collectively, the "Affiliate Program") that allow eligible users to earn commissions, credits, rewards, bonuses, or other compensation for qualifying referrals or other approved activities.
Participation in the Affiliate Program is voluntary and subject to these Terms, any additional Affiliate Program policies, and any program-specific rules that Shoppable Videos may publish from time to time.
Participation in the Affiliate Program does not create an employment relationship, partnership, agency, franchise, joint venture, or other fiduciary relationship between you and Shoppable Videos.
Eligibility
Participation in the Affiliate Program may require:
an active Shoppable Videos account;
acceptance into the Affiliate Program;
compliance with these Terms;
compliance with applicable laws and regulations;
compliance with platform advertising and disclosure requirements; and
satisfaction of any additional eligibility requirements established by Shoppable Videos.
We reserve the right to approve or deny participation in the Affiliate Program at our sole discretion.
Qualifying Referrals
Commissions, rewards, or other incentives are earned only on qualifying referrals as determined by Shoppable Videos.

recurring subscription commissions;
one-time commissions;
referral bonuses;
tiered commission rates;
performance bonuses;
second-tier or multi-level referral overrides;
usage-based rewards;
credits;
promotional incentives; or
other compensation structures introduced in the future.
The specific commission structure applicable to any Affiliate Program will be described in the applicable Affiliate Program materials or dashboard.
Commission Changes
The Affiliate Program is promotional in nature and may evolve over time.
Accordingly, Shoppable Videos reserves the right, at any time and in its sole discretion, to:
modify commission percentages;
modify recurring commission eligibility;
modify commission duration;
introduce, modify, or remove commission tiers;
introduce or discontinue second-tier or multi-level commissions;
modify qualification requirements;
modify payout schedules;
modify minimum payout thresholds;
modify eligible products or services;
introduce or discontinue promotional commission programs;
introduce or discontinue grandfathered commission programs;
modify bonus programs;
suspend or terminate the Affiliate Program; or
otherwise modify the Affiliate Program and its compensation structure.
Such modifications may apply prospectively beginning on a future effective date determined by Shoppable Videos.
Nothing in these Terms guarantees that any commission percentage, payout structure, or promotional program will remain available for any specific period of time.
Promotional Programs
From time to time, Shoppable Videos may offer promotional affiliate opportunities, including limited-time commission rates, founding affiliate programs, launch promotions, contests, incentive campaigns, or similar promotional initiatives.
Eligibility, availability, duration, and benefits of such promotions are determined solely by Shoppable Videos and may be modified, suspended, or discontinued at any time.
Prohibited Conduct
Affiliate participants may not:
refer themselves through alternate accounts;
create fraudulent accounts;
engage in cookie stuffing;
generate artificial referrals;
purchase referrals;
use spam, unsolicited messaging, or deceptive advertising;
misrepresent the Services;
make false earnings claims;
violate advertising disclosure requirements;
violate platform advertising policies;
infringe the intellectual property rights of others;
engage in fraudulent or abusive marketing practices; or
otherwise attempt to manipulate the Affiliate Program.
Fraud Prevention
Shoppable Videos reserves the right to investigate any referral, commission, or affiliate activity that appears unusual, suspicious, abusive, fraudulent, or inconsistent with these Terms.
We may delay, withhold, reverse, reduce, deny, or cancel commissions or rewards if we reasonably believe that:
fraud has occurred;
abuse has occurred;
the referral violates these Terms;
the referral violates applicable law;
the referral violates third-party platform policies;
payment is refunded or charged back;
attribution cannot be verified;
the transaction is invalid; or
any other circumstance exists that would make payment inappropriate.
Payouts
Affiliate payouts may be subject to:
minimum payout thresholds;
payment processing requirements;
tax reporting requirements;
identity verification;
payment verification;
payout schedules;
applicable withholding requirements; and
any other reasonable administrative requirements established by Shoppable Videos.
Affiliates are solely responsible for reporting and paying any taxes associated with commissions or other compensation received.
No Guaranteed Income
Participation in the Affiliate Program does not guarantee:
commissions;
recurring income;
referral volume;
earnings;
profitability; or
continued eligibility for the Affiliate Program.
Any earnings examples, promotional materials, or marketing content are provided for illustrative purposes only and should not be interpreted as guarantees of future results.
Termination
Shoppable Videos may suspend, terminate, or permanently remove any participant from the Affiliate Program at any time if we reasonably believe that the participant has violated these Terms, engaged in fraudulent or abusive conduct, or otherwise poses a risk to the integrity of the Affiliate Program or the Services.
Termination from the Affiliate Program may result in the forfeiture of unpaid commissions to the extent permitted by applicable law and these Terms.
Credits, Subscriptions & Billing

Because the Services continually evolve, Shoppable Videos does not guarantee that any specific feature, integration, AI model, Marketplace capability, verification method, or third-party integration will remain available for the duration of your subscription.
SMS Messaging & Phone Verification

other AI-powered functionality introduced in the future.
No Guarantee of Accuracy
AI-generated content and recommendations are produced through automated systems and may contain:
inaccuracies;
omissions;
outdated information;
incomplete information;
incorrect assumptions;
biased outputs;
formatting errors; or
other unintended results.
Accordingly, AI-generated outputs should be considered informational only.
You are solely responsible for reviewing, verifying, editing, and evaluating any AI-generated output before relying upon it or publishing it.
User Responsibility
You remain solely responsible for:

These recommendations are generated using proprietary methodologies that may consider numerous factors, including account information, Creator Passport data, connected platform data, historical activity, Marketplace participation, engagement signals, AI models, and other available information.
Recommendation methodologies may change over time without notice.
AI Training & Service Improvement
To the extent permitted by applicable law and our Privacy Policy, Shoppable Videos may use user interactions, feedback, prompts, anonymized usage data, and other information generated through the Services to improve, evaluate, monitor, secure, develop, and enhance our AI Features and related technologies.
We do not claim ownership of your content solely because it is processed by AI Features.
Third-Party AI Providers
Certain AI Features may rely on third-party artificial intelligence providers or models.
Shoppable Videos does not control the operation, availability, accuracy, pricing, security, or future availability of third-party AI providers.
Changes made by those providers may affect the functionality or availability of AI Features.
Availability
AI Features may be:
modified;
upgraded;

rate-limited;

Acceptable Use of AI Features
You agree not to use AI Features to:

User Content may include, without limitation:
Creator Passport profile information;
profile photos and avatars;
biographies;
social media links;
videos;
images;
documents;
comments;
reviews;
campaign information;
Marketplace listings;
product information;
creator portfolios;
AI prompts;
AI-generated content;
analytics preferences;
messages;
contact information;
branding materials; and
any other content submitted through the Services.
Ownership
You retain ownership of your User Content.
Nothing in these Terms transfers ownership of your intellectual property to Shoppable Videos.
License to Shoppable Videos
By submitting or making User Content available through the Services, you grant Shoppable Videos a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to:
host;
store;
reproduce;
process;
format;
transmit;
display;
publish;
distribute;
index;
cache;
analyze;
create backup copies;
improve search functionality;
improve recommendation systems;
improve AI Features;
improve Marketplace functionality;

otherwise use your User Content as reasonably necessary to operate, maintain, improve, promote, and provide the Services.
This license continues only for so long as reasonably necessary to provide the Services and fulfill legal, security, backup, operational, or regulatory obligations.
Public Content
Certain User Content is intended to be publicly visible.
Examples may include:
Creator Passport profiles;
profile photos;
public creator statistics;
publicly available social media information;
Marketplace listings;
public recommendations;
public comments; and
other information that you choose to make publicly available.
By making User Content public, you acknowledge that it may be:
viewed by other users;
indexed by search engines;
indexed by artificial intelligence systems;
cached by third parties;
shared on social media;
referenced by websites;
archived by internet services; and
accessed by anyone on the Internet.
Shoppable Videos cannot control how third parties use publicly available information after it has been published.
Your Responsibilities
You represent and warrant that:
you own your User Content or have all necessary rights to submit it;
your User Content does not violate any law;
your User Content does not infringe the intellectual property or privacy rights of others;
your User Content is not fraudulent or misleading;
your User Content does not contain malicious software;
you have obtained any required permissions or consents before submitting content relating to another person.
You remain solely responsible for all User Content that you submit or publish.
Content Moderation
Shoppable Videos reserves the right, but is not obligated, to review, monitor, edit, restrict, remove, disable, or refuse User Content that we reasonably believe:

Nothing contained in these Terms grants you any right to use any Shoppable Videos trademark, logo, trade dress, or branding without our prior written permission.
All other trademarks, service marks, logos, and trade names displayed through the Services remain the property of their respective owners.

Third-Party Content

Your participation in Beta Features may include providing feedback, bug reports, feature requests, suggestions, testing results, screenshots, recordings, or other information.
Unless otherwise agreed in writing, any feedback you provide may be used by Shoppable Videos without restriction or compensation for the purpose of improving the Services.
Changes & Discontinuation
Shoppable Videos reserves the right, at any time and without liability, to:
modify Beta Features;
limit access;
expand availability;
suspend testing;
reset Beta data;
replace Beta Features with production features;
discontinue Beta Features entirely; or
decline to release a Beta Feature as a permanent product.
Your continued access to any Beta Feature is not guaranteed.
Transition to Production
If a Beta Feature becomes generally available, it may:
become part of a subscription plan;
require usage credits;
become subject to additional terms;
change functionality;
change pricing;
change usage limits; or
be replaced by a substantially different implementation.
Participation in a Beta Feature does not guarantee continued free access once the feature is commercially released.

However, no method of electronic transmission, internet communication, or electronic storage is completely secure.
Accordingly, we cannot guarantee absolute security.
Data Retention

provide the Services;
comply with legal obligations;
resolve disputes;
enforce these Terms;
maintain security;
prevent fraud;
maintain backups;
improve the Services; or

sponsorships;
campaign acceptance;

clicks;
conversions;
traffic;
product rankings;

commercial success.
Past performance, examples, testimonials, case studies, or marketing materials should not be interpreted as guarantees of future results.
Third-Party Platforms
Shoppable Videos does not warrant the continued availability, compatibility, accuracy, reliability, or performance of any third-party platform, API, authentication provider, payment provider, messaging provider, cloud provider, browser, operating system, artificial intelligence provider, or other Third-Party Service.
Changes made by third parties may reduce or eliminate portions of the Services without liability to Shoppable Videos.
User Relationships
Shoppable Videos is not responsible for the conduct, actions, omissions, products, services, representations, or business practices of users, creators, brands, agencies, sellers, advertisers, or other third parties using the Services.

This limitation includes, without limitation, damages arising from:
lost profits;
lost revenue;
lost commissions;

Maximum Liability
To the fullest extent permitted by applicable law, the aggregate liability of the Shoppable Videos Parties arising out of or relating to the Services or these Terms shall not exceed the greater of:
the total amount actually paid by you to Shoppable Videos during the twelve (12) months immediately preceding the event giving rise to the claim; or
one hundred U.S. dollars (US $100.00).
This limitation applies regardless of the number of claims, legal theories, or causes of action asserted.
Basis of the Bargain
You acknowledge that:
the Services are offered at the pricing established in reliance upon these limitations of liability;
these limitations represent an essential basis of the agreement between you and Shoppable Videos; and
Shoppable Videos would not be able to provide the Services on the same commercial terms without these limitations.
No Liability for Third Parties
The Shoppable Videos Parties shall not be liable for any loss or damage arising from:
the acts or omissions of other users;
third-party platforms;
payment processors;
cloud providers;
internet service providers;
mobile carriers;
telecommunications providers;
browser vendors;
AI providers;
authentication providers;
governmental actions;
force majeure events; or
other events beyond our reasonable control.
Time Limit for Claims
To the extent permitted by applicable law, any claim or cause of action arising out of or relating to the Services or these Terms must be commenced within one (1) year after the claim arose or be permanently barred.
Jurisdictional Exceptions
Some jurisdictions do not permit the exclusion or limitation of certain damages or liabilities.
Accordingly, portions of this section may not apply to you to the extent prohibited by applicable law.

your access to or use of the Services;
your violation of these Terms;
your violation of applicable laws or regulations;
your violation of the rights of another person or entity;
your User Content;
your Creator Passport;
your Marketplace activity;
your affiliate or referral activities;
your advertising or promotional activities;
your use of AI-generated content;
your connected third-party accounts;
your misuse of APIs or integrations;
your fraudulent, deceptive, or unlawful conduct; or
any dispute between you and another user, creator, brand, seller, agency, advertiser, or third party.
Cooperation
If a claim arises that may be subject to indemnification under this section, Shoppable Videos reserves the right, at its own expense, to assume the exclusive defense and control of the matter.
You agree to cooperate fully in the defense of any such claim, including providing information, documents, and reasonable assistance as requested.
Our decision to assume the defense of a claim does not relieve you of your indemnification obligations.
No Unauthorized Settlements
You may not settle any claim that affects the rights, obligations, reputation, or interests of the Indemnified Parties without the prior written consent of Shoppable Videos.
Survival
Your obligations under this section survive:
termination of your account;
cancellation of your subscription;
removal of your Creator Passport;
withdrawal from the Affiliate Program;
discontinuation of the Services; and
termination or expiration of these Terms,
to the extent necessary to resolve claims arising from events that occurred while these Terms were in effect.
Scope
This indemnification obligation applies to the fullest extent permitted by applicable law.
Nothing in this section requires you to indemnify the Indemnified Parties for claims resulting solely from their own gross negligence, willful misconduct, or where such indemnification is prohibited by applicable law.
Suspension & Termination
22. Suspension & Termination
You may stop using the Services at any time by discontinuing your use of the Services and, where applicable, canceling your account or subscription.
Termination of your account does not automatically relieve you of any obligations that arose before termination, including payment obligations, indemnification obligations, or other provisions that are intended to survive termination.
Suspension by Shoppable Videos
Shoppable Videos reserves the right, in its sole discretion and without liability, to suspend, restrict, disable, or terminate your access to all or any portion of the Services if we reasonably believe that:
you have violated these Terms;
you have violated applicable law;
you have violated the policies or requirements of a third-party platform;
your account has been compromised;
your account presents a security risk;
fraudulent, deceptive, abusive, or unauthorized activity has occurred;
payment for Paid Services cannot be successfully processed;
your use of the Services interferes with the operation, security, or integrity of the platform;
continued access may expose Shoppable Videos, its users, or third parties to legal, financial, operational, or reputational risk; or
suspension or termination is otherwise reasonably necessary to protect the Services or comply with legal obligations.
Where appropriate, we may investigate suspected violations before taking action, but we are not obligated to do so.
Effect of Suspension
During a suspension, we may, without limitation:
disable access to your account;
disable Creator Passport features;
suspend Marketplace participation;
suspend affiliate participation;
suspend AI Features;
suspend connected platform integrations;
revoke verification status;
suspend browser extension functionality where technically feasible;
restrict API access;
suspend premium features; or
otherwise limit access to portions of the Services.
Effect of Termination
Upon termination of your account or these Terms:
your right to access and use the Services immediately ends;
licenses granted to you under these Terms terminate;
subscriptions may be canceled in accordance with applicable billing policies;
unpaid fees that have already become due remain payable;
Shoppable Videos may remove or disable access to User Content, subject to applicable law and our data retention practices.
Termination does not require Shoppable Videos to permanently delete all account information immediately, and certain information may be retained for legal, security, operational, backup, fraud prevention, accounting, tax, dispute resolution, or other legitimate business purposes.
Discontinuation of the Services
Shoppable Videos reserves the right to modify, suspend, discontinue, or permanently cease operating all or any portion of the Services at any time.
To the fullest extent permitted by applicable law, Shoppable Videos shall not be liable for any loss arising from the discontinuation of any feature, integration, subscription plan, Marketplace functionality, Creator Passport feature, AI Feature, browser extension, API, or the Services as a whole.
Survival
The provisions of these Terms that by their nature should survive termination shall continue in full force and effect after termination, including, without limitation:
payment obligations;
intellectual property rights;
licenses granted by you;
disclaimers;
limitation of liability;
indemnification;
dispute resolution provisions;
governing law;
and any other provisions reasonably intended to survive termination.

modifying usage limits;
modifying credit allocations;
modifying supported platforms;
modifying account eligibility;
modifying affiliate or referral programs;
modifying security requirements;
modifying user interfaces;
modifying workflows; or
discontinuing legacy functionality.
Third-Party Dependencies
Certain features depend on third-party platforms, APIs, cloud providers, artificial intelligence providers, payment processors, messaging providers, browser vendors, and other external technologies.
If a third-party provider changes, restricts, suspends, or discontinues its services, Shoppable Videos may modify or discontinue related functionality without liability.
Migration of Features
As the Services evolve, existing functionality may be:
relocated within the platform;
consolidated with other features;
divided into separate services;
incorporated into subscription plans;
moved behind usage-based credits;
replaced by newer functionality; or
retired entirely.
Shoppable Videos does not guarantee the continued availability of any specific feature, workflow, or interface.
Beta Features
Features may transition between beta, preview, early access, production, premium, or retired status over time.
Such transitions may include changes to functionality, pricing, subscription requirements, usage limits, or eligibility.
No Obligation to Maintain Legacy Features
We are under no obligation to maintain, support, update, or continue offering any previous version of the Services, APIs, browser extensions, mobile applications, user interfaces, workflows, or integrations.
Users are responsible for adapting to reasonable changes made to the Services.
No Liability
To the fullest extent permitted by applicable law, Shoppable Videos shall not be liable for any loss, interruption, inconvenience, or damages resulting from changes to, suspension of, or discontinuation of any feature or portion of the Services.

subscription offerings; or
other specialized Services.
To the extent there is a conflict between these general Terms and any applicable feature-specific terms, the feature-specific terms will govern solely with respect to that feature.
Severability of Updates
If any modification to these Terms is determined by a court of competent jurisdiction to be invalid or unenforceable, the remaining provisions shall continue in full force and effect to the maximum extent permitted by applicable law.
Governing Law

These Terms and any dispute, claim, controversy, or cause of action arising out of or relating to the Services or these Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles.
Venue
Unless otherwise provided in the Dispute Resolution section of these Terms, you agree that any legal action or proceeding arising out of or relating to the Services or these Terms shall be brought exclusively in the state or federal courts located in the State of Wyoming.
You consent to the personal jurisdiction of those courts and waive any objection based on improper venue or forum non conveniens to the fullest extent permitted by applicable law.
International Users
The Services may be accessed from jurisdictions around the world.
You are solely responsible for ensuring that your use of the Services complies with all laws applicable to you in your jurisdiction.
Nothing in these Terms shall be interpreted as requiring Shoppable Videos to comply with laws that do not otherwise apply to its operations.
Export Compliance
You agree to comply with all applicable United States export control laws, sanctions programs, and trade restrictions.
You represent and warrant that you are not:
located in a country or territory subject to comprehensive U.S. sanctions that prohibit your use of the Services;
identified on any applicable U.S. government restricted-party list; or
prohibited from receiving the Services under applicable law.
Shoppable Videos reserves the right to restrict or terminate access where required to comply with applicable export control, sanctions, or trade laws.
Consumer Rights
Nothing in these Terms is intended to limit or waive any non-waivable consumer rights that may apply under applicable law.
If any provision of these Terms conflicts with mandatory consumer protection laws applicable to you, that provision shall apply only to the extent permitted by those laws.
Dispute Resolution

Our goal is to resolve disputes efficiently, fairly, and without unnecessary litigation whenever possible.
Informal Resolution
Before initiating any legal proceeding, you agree to first contact Shoppable Videos and make a good-faith effort to resolve the dispute informally.
You agree to provide:
a description of the issue;
your account information (if applicable);
any relevant supporting documentation; and
the relief you are seeking.
The parties agree to make reasonable efforts to resolve the dispute within thirty (30) days after receiving written notice.
Nothing in this section prevents either party from seeking temporary injunctive or equitable relief where necessary to prevent immediate and irreparable harm.
Binding Arbitration (If Applicable)
If enforceable under applicable law, any dispute, claim, or controversy arising out of or relating to these Terms or the Services that cannot be resolved through informal resolution shall be resolved by final and binding arbitration rather than in court, except:
claims that qualify for small claims court;
claims seeking injunctive or equitable relief relating to intellectual property;
actions to collect unpaid amounts owed to Shoppable Videos; or
matters that applicable law requires to be heard in court.
The arbitration shall be conducted by a mutually agreed arbitration provider in accordance with its applicable rules.
Unless otherwise required by applicable law or agreed by the parties:
arbitration shall be conducted in English;
a single arbitrator shall preside;
arbitration may be conducted remotely where permitted by the arbitration provider; and
the arbitrator may award only those remedies available under applicable law.
The arbitrator's decision shall be final and binding and may be entered as a judgment in any court having jurisdiction.
Class Action Waiver
To the fullest extent permitted by applicable law, you and Shoppable Videos agree that all disputes shall be resolved solely on an individual basis.
Neither party shall participate in:
a class action;
a collective action;
a representative action;
a private attorney general action; or
any similar proceeding,
except where such waiver is prohibited by applicable law.
Jury Trial Waiver
To the fullest extent permitted by applicable law, if any dispute proceeds in court rather than arbitration, both you and Shoppable Videos knowingly and voluntarily waive any right to a trial by jury.
Limitation Period
Any dispute arising from these Terms or the Services must be commenced within the period specified in these Terms or, if no specific period is provided, within the time permitted by applicable law.
Severability
If any portion of this Dispute Resolution section is found to be unenforceable, that portion shall be severed, and the remaining provisions shall remain in effect to the fullest extent permitted by applicable law.
If the class action waiver is found to be unenforceable in a particular case where applicable law does not permit severance, then the applicable dispute shall proceed in a court of competent jurisdiction rather than arbitration, but only to the extent required by law.

Entire Agreement
These Terms, together with our Privacy Policy and any feature-specific terms, policies, guidelines, or agreements incorporated by reference, constitute the entire agreement between you and Shoppable Videos regarding the Services and supersede all prior or contemporaneous agreements, communications, representations, and understandings relating to the Services.
Severability
If any provision of these Terms is determined to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be enforced to the maximum extent permitted by applicable law, and the remaining provisions shall remain in full force and effect.
No Waiver
The failure of Shoppable Videos to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
Any waiver must be in writing and signed by an authorized representative of Shoppable Videos.
Assignment
You may not assign, transfer, delegate, or otherwise transfer your rights or obligations under these Terms without our prior written consent.
Shoppable Videos may assign or transfer these Terms, in whole or in part, without restriction, including in connection with:
a merger;
acquisition;
corporate reorganization;
financing;
sale of assets;
or other change of control.
These Terms shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.
No Third-Party Beneficiaries
Except as expressly provided in these Terms, nothing in these Terms creates any third-party beneficiary rights.

Shoppable Videos shall not be liable for any delay or failure to perform resulting from events beyond its reasonable control, including, without limitation:

war;

civil unrest;
labor disputes;
governmental actions;
internet outages;

utility failures;
failures of third-party service providers;
supply chain disruptions; or
other events beyond our reasonable control.
Electronic Communications
By creating an account or using the Services, you consent to receive electronic communications from Shoppable Videos, including notices regarding your account, transactions, subscriptions, updates, security matters, and changes to the Services or these Terms.
Electronic communications satisfy any legal requirement that such communications be in writing, to the extent permitted by applicable law.
Electronic Signatures
